Magyar Telekom: Separation of Passive Mobile Infrastructure

Magyar Telekom, the leading Hungarian telecommunications service provider, has announced on the website of the Budapest Stock Exchange that it held an Extraordinary General Meeting, at which a decision was made to separate the Company’s passive mobile infrastructure portfolio into a 100% owned subsidiary.

With the spin-off adopted by the General Meeting, Magyar Telekom Plc. will continue its operation in its current legal form whilst, in line with industry practices, it has established Magyar Telekom Mobile Infra Plc., a 100% owned subsidiary. The decision concerns the Company’s passive mobile infrastructure portfolio, which includes primarily stand-alone towers, and structures on rooftops and other sites located at nearly 2,800 sites across the country.

The General Meeting resolved October 31, 2025 as the effective date of the spin-off. The Chief Executive Officer of the new subsidiary will be Sándor Markovics, effective from November 1, 2025 who has been with the Magyar Telekom Group since 1998 and has been holding various leadership roles since 2010 in the area of wholesale and partner relations. For ten years, he headed the Wholesale Partner Relations department and since 2022 holds the position of Partner Relationship Lead within the Regulatory and Wholesale Tribe.

The spin-off is subject to the approval of the competent court of registration.
